These Terms of Service ("Terms") form a binding agreement between Periodix Inc., a Delaware corporation with offices at 169 Madison Ave STE 41509, New York, NY 10016, USA ("Periodix," "we," "us," or "our") and you, whether acting personally or on behalf of an entity ("you," "your," or "Customer"). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Periodix provides an AI-powered sales conversion platform that helps you automate outreach, manage conversations, re-engage cold leads, handle objections, and schedule meetings — primarily on LinkedIn and through related channels (collectively, the "Service"). The Service is delivered as a web application at periodix.net and related subdomains.
The Service connects to third-party platforms (such as LinkedIn) only through authenticated sessions you establish, and relies on independent technical intermediary providers to route requests on your behalf. Periodix does not directly access third-party platforms on its own account, and does not maintain an independent database of third-party platform content.
We may modify, add, or discontinue features at any time, at our discretion.
The Service is intended for business use by adults. You must be at least 18 years old and able to form a legally binding contract. Periodix does not knowingly permit anyone under 18 to create an account or use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.
You are responsible for: (a) the accuracy of information you provide; (b) safeguarding your credentials; (c) all activity under your account; and (d) notifying us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms, applicable law, or third-party platform rules.
Standard subscriptions are billed monthly or annually in advance. Fees are non-refundable except where required by law or expressly stated. Subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless you cancel before the renewal date. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
From time to time, Periodix may offer "lifetime" access plans, either directly or through resellers. Such plans, if and when offered, are governed by both these Terms and the applicable reseller's terms (including the reseller's refund window, where applicable). "Lifetime" means the lifetime of the Service as offered by Periodix; it does not entitle you to features added to higher-tier plans, unlimited usage beyond stated caps, or continued service if the product is discontinued. Usage limits stated at the time of purchase apply unless we expressly state otherwise. As of the Effective Date of these Terms, Periodix is not actively offering lifetime plans; existing lifetime plan holders (if any) retain rights under this Section.
Agency plans allow management of multiple LinkedIn profiles or end-client accounts under a single billing relationship. You are responsible for all sub-accounts you create and for ensuring each end client has agreed to terms substantially equivalent to these Terms with respect to their own data and use.
Fees are exclusive of taxes. You are responsible for all sales, use, VAT, GST, or similar taxes, except taxes on our net income.
We may change prices on renewal with at least 30 days' notice. Lifetime plan pricing is honored for the originally purchased usage tier.
You will not, and will not permit anyone else to, use the Service in the ways described in this Section.
LinkedIn applies messaging, connection-request, and other activity limits to each account, and those limits vary by account age, plan (Free, Premium, Sales Navigator), recent activity, and LinkedIn's own algorithms. You are solely responsible for knowing the limits that apply to each of your LinkedIn accounts and for configuring your Periodix campaigns to stay within them.
Periodix provides configurable sending caps and pacing controls to help you stay within reasonable limits, but these tools are aids — not guarantees. They do not relieve you of responsibility for compliance with LinkedIn's rules. You must not configure the Service in a way that would exceed the limits LinkedIn applies to a given account, and you must adjust your configuration if LinkedIn warns you, restricts the account, or changes its limits.
If you operate multiple accounts under an Agency plan, the obligations in this Section apply separately to each account you manage.
This Section is important and you should read it carefully.
The Service operates as a software-as-a-service application that:
Periodix is not affiliated with, endorsed by, sponsored by, or in any way officially connected with LinkedIn Corporation, Microsoft Corporation, or any of their subsidiaries or affiliates. LinkedIn® is a registered trademark of LinkedIn Corporation. All use of the "LinkedIn" name or related marks within the Service or our materials is solely to identify the platform with which the Service interoperates. All other trademarks referenced are the property of their respective owners.
You acknowledge and agree that:
Periodix makes no warranty that:
Periodix may modify, suspend, or discontinue any third-party platform integration at any time, including in response to a third-party platform's enforcement action, technical change, or policy update, without notice and without liability. Such modifications do not entitle you to a refund, including for lifetime plan purchases, except as required by applicable consumer protection law.
In addition to Section 4 (Acceptable Use), you specifically agree not to use the Service to:
Using multiple LinkedIn automation tools concurrently with the Service can increase the risk of detection by LinkedIn and is strongly discouraged. You assume the risk of any consequences (including account restriction, suspension, or termination by LinkedIn) resulting from your concurrent use of multiple automation tools, regardless of whether such tools are listed in the prohibitions above.
We may suspend or restrict your access to the Service, with or without notice, if we receive credible reports of spam or abuse, observe usage patterns that indicate violation of a third-party platform's limits or rules, or are required to take such action by a third-party platform or a technical intermediary. Repeated or material violations may result in termination under Section 9.
If LinkedIn or any other third-party platform suspends, restricts, or permanently bans your account for any reason — including but not limited to suspected automation, exceeding platform limits, message content, or violation of platform terms — you acknowledge and agree that:
Customer and Periodix mutually acknowledge that LinkedIn (and other third-party platforms) operate independently, set their own policies and technical limitations, and may take enforcement actions for reasons known only to them. Neither party warrants the future behavior, policies, or technical compatibility of any third-party platform. Any claim arising from a third-party platform's actions shall be directed to that platform, not to Periodix.
LinkedIn Corporation is an expressly intended third-party beneficiary of Sections 5.2, 5.4, and 5.6 with respect to provisions concerning Customer's obligations to comply with LinkedIn's User Agreement, Professional Community Policies, and related terms. LinkedIn shall have the right (but not the obligation) to enforce those provisions directly against Customer to protect LinkedIn's rights. No other person or entity who is not a party to these Terms shall have any right to enforce any term of these Terms, except as expressly provided in this Section 5.8.
"Customer Content" means all data, text, contact lists, lead profiles, conversation history, and other materials you upload, generate, or process through the Service. You retain all rights in your Customer Content.
You grant Periodix a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and modify Customer Content solely to: (a) provide and improve the Service for you; (b) comply with law; and (c) perform aggregate, de-identified analytics that do not identify you or any individual.
You represent and warrant that, with respect to any personal data of leads or prospects you upload, process, or generate through the Service:
Periodix acts as a data processor with respect to lead data; you are the data controller. The Data Processing Addendum in our Privacy Policy forms part of these Terms.
The Service uses third-party large language model providers (currently OpenAI and Anthropic) to generate messages, replies, and follow-ups. You understand and acknowledge:
As between you and Periodix, you own all AI-generated output produced by the Service in response to your instructions, subject to the underlying license terms of the third-party AI providers (such as OpenAI and Anthropic). Periodix claims no ownership over such output. You are free to use, modify, or distribute AI-generated output, subject to applicable law and to the AI providers' terms.
You acknowledge that AI-generated output may contain inaccurate, misleading, defamatory, or otherwise inappropriate content, including content that misrepresents real persons, fabricates facts, or infringes the rights of third parties. You are solely responsible for reviewing all AI-generated content before authorizing transmission to any recipient.
You assume full responsibility for, and waive any claim against Periodix arising from, any third-party claim based on AI-generated content that you transmitted (whether after review or without review), including but not limited to claims for defamation, false light, false advertising, harassment, invasion of privacy, or violation of publicity rights. This provision applies regardless of whether you used autopilot, auto-send, or any other feature that reduces or bypasses manual review.
Periodix and its licensors own all rights in the Service, including software, models, designs, documentation, and trademarks. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription term. Nothing in these Terms transfers ownership of the Service to you.
If you provide feedback, suggestions, or ideas about the Service, you grant Periodix a perpetual, irrevocable, royalty-free license to use them without restriction.
We may suspend or terminate your access immediately if: (a) you breach these Terms; (b) your payment fails and is not cured within 7 days; (c) we reasonably believe your use creates legal, security, or reputational risk; or (d) required by law.
On termination: (i) your right to use the Service ends; (ii) we will make Customer Content available for export for 14 days, after which we may delete it; (iii) accrued fees remain payable; (iv) the following provisions survive termination: Sections 6.2 (License to Periodix), 6.3 (Lead Data Representations), 7.2 (AI Output Responsibility), 8 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 14 (Governing Law and Dispute Resolution), and any other provision that by its nature should survive termination.
You may terminate by cancelling your subscription. Lifetime plan users may request account deletion; deletion is permanent and the lifetime entitlement is not refundable or transferable.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE.
Without limiting the foregoing, Periodix expressly disclaims any warranty that:
You acknowledge that you use the Service at your own risk, and that your business decisions, message content, targeting, and configuration choices are your sole responsibility.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
You will defend, indemnify, and hold harmless Periodix and its officers, employees, and affiliates from any third-party claim, damages, or expense (including reasonable attorneys' fees) arising out of: (a) your Customer Content; (b) your use of the Service in violation of these Terms or applicable law; (c) your use of the Service in violation of a third-party platform's terms; (d) your processing of lead data; or (e) your breach of the representations and warranties in Section 6.3.
We may update these Terms from time to time, at our sole discretion. Changes take effect upon posting the updated Terms at periodix.net (or such other URL as we may designate). Continued use of the Service after the updated Terms are posted constitutes acceptance. If you do not accept the changes, your sole remedy is to stop using the Service and cancel your subscription.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. The UN Convention on Contracts for the International Sale of Goods does not apply.
Before filing any claim, you agree to attempt to resolve the dispute informally by contacting legal@periodix.net. If not resolved within 30 days, either party may proceed to arbitration.
For users located in the United States, any dispute that cannot be resolved informally will be resolved by binding arbitration administered by JAMS in New York, NY, under its Streamlined Arbitration Rules. You and Periodix waive any right to a jury trial and to participate in a class action.
If you are a consumer in the EU, UK, or another jurisdiction whose mandatory consumer protection laws apply, those laws apply notwithstanding this Section, and you may bring suit in your local courts.
